Fortress Prime End User License Agreement (EULA)

NOTICE: This End User License Agreement ("Agreement") is a legal contract between you ("User," "You," or "Your") and the developer and copyright holder ("Licensor") of the algorithmic trading system known as Fortress Prime ("Software"). By downloading, installing, configuring, connecting via API, or otherwise using Fortress Prime, you agree to be bound by the terms of this Agreement. If you do not agree to all terms, do not install or use the Software.

1. Ownership and Intellectual Property Rights

Proprietary Rights: The Software, including all associated source code (bot_logic.py, screener.py, alpaca_downloader.py, ta_lib.py), algorithms, quantitative models, database schemas, documentation, and interface designs, is the exclusive intellectual property of the Licensor.

Protection: The Software is protected by copyright, trade secret, and international intellectual property laws. Unauthorized copying, reverse engineering, decompilation, disassembly, redistribution, modification, or creation of derivative works is strictly prohibited.

Grant of Limited License: Licensor grants You a personal, non-exclusive, non-transferable, revocable license to execute and operate the Software solely for your own private, internal personal trading use. You acquire no ownership rights whatsoever in the Software.

2. Disclaimer of Financial and Investment Warranties

No Financial Advice: Fortress Prime is a software tool designed to execute automated strategies and technical analysis routines. The Licensor is not a registered financial advisor, broker-dealer, or investment adviser. Nothing contained within the Software or its outputs constitutes financial, legal, or tax advice.

As-Is Provision: The Software is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Risk of Loss: Algorithmic trading, financial markets, and API-driven execution involve substantial risk of financial loss. You acknowledge and agree that You assume full responsibility for all trading decisions, capital allocations, strategy configurations, and financial outcomes resulting from the use of the Software.

3. Brokerage Independence and Third-Party Disclaimers

Independent Execution Provider: Tradier is utilized solely as an independent brokerage and API execution gateway. Tradier has no affiliation, partnership, sponsorship, endorsement, or joint venture with the Licensor or Fortress Prime, and assumes zero liability or responsibility for the operation, performance, errors, or financial results of the Software.

API and Connectivity Risk: You acknowledge that automated execution relies on third-party broker APIs (Tradier). The Licensor shall bear no liability for connectivity outages, order execution failures, latency, rejected trades, or financial losses resulting from Tradier's system performance, API modifications, or brokerage policies.

4. Limitation of Liability and Indemnification

Absolute Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever (including, without limitation, loss of capital, trading losses, trading margin calls, profit loss, data corruption, system failure, or interruption of business) arising out of or related to the use or inability to use the Software, even if advised of the possibility of such damages.

User Indemnification: You agree to defend, indemnify, and hold harmless the Licensor from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

Your use of and access to the Software;

Your violation of any term of this Agreement;

Your violation of any third-party right, including any brokerage terms of service (such as Tradier API agreements), copyright, property, or privacy right; or

Any financial loss or regulatory violation resulting from your trading activities.

5. Termination

This license is effective until terminated. Your rights under this Agreement will terminate automatically without notice from the Licensor if You fail to comply with any term(s) hereof. Upon termination, You shall immediately cease all use of the Software and permanently delete all copies of the Software in your possession or control.

6. Governing Law

This Agreement shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in courts of competent jurisdiction.
